1. Purpose and scope
These General Service Terms (the “General Terms”) govern access to, contracting of and use of the ALIVIO technology platform (the “Platform”), intended to facilitate the management, monitoring, coordination, documentation and traceability of processes related to real estate assets. The Platform may include, among other functionalities, management of pre-sale and after-sales processes, visits, reviews, issues, actions, documentation, communications, photographs, signatures, sign-offs, supplier assignment and generation of information and reports.
They apply to the relationship between ALIVIO Asset Management, S.L., registered office at [pending], NIF [pending] (“ALIVIO”), and the legal entity or professional that contracts access to the Platform (the “Client”). The Platform is intended exclusively for professionals, companies and organisations in their professional activity and is not marketed to consumers.
2. Contractual documentation
The relationship between ALIVIO and the Client is made up, as applicable, of: the commercial proposal, order, contract or service order accepted by the Client; these General Terms; the Particular Conditions for the contracted service or module; the Data Processing Agreement, where applicable; and any annex or specific condition expressly incorporated. In the event of conflict, the conditions specifically agreed between the parties prevail over these General Terms. The Conditions of Use applicable to Authorised Users are complementary and must be accepted individually where applicable.
3. Description and nature of the Platform
ALIVIO is a technology tool intended to centralise and facilitate certain processes related to the technical and operational management of real estate assets. Depending on the contracted service, the Platform may allow, among other functions: registering assets, buildings, dwellings, elements or common areas; recording visits and reviews; creating and managing issues; adding photographs, documents and observations; classifying and monitoring issues; assigning actions to suppliers; requesting, adding or reviewing quotes; recording actions taken; managing communications between users; obtaining signatures or sign-offs; keeping a history of actions; generating reports and documentation; and consulting management indicators.
The specific functionalities available depend on the module, plan and services contracted by the Client. Unless an additional professional service has been expressly contracted, ALIVIO acts as the provider of a technology management tool and not as construction management, an inspection body, a certifying entity, an expert, an insurer, a builder, a developer or a guarantor of the actions recorded in the Platform.
4. Client and Authorised Users
The Client may authorise access to the Platform to the people necessary to provide the service (the “Authorised Users”), within the limits set out in its contract. Depending on the module, there may be different profiles or roles, including Administrator; Manager or Technician; Owner; Supplier; and other profiles ALIVIO may enable. Each profile has only the functionalities, permissions and access to information corresponding to its role. The Client is responsible for determining who must have access, without prejudice to the controls and permissions set by ALIVIO. Authorised Users must accept, where applicable, the corresponding Conditions of Use, including confidentiality and limited-use obligations.
5. Registration, accounts and credentials
Access requires the creation or enabling of a user account. Credentials are personal and may not be shared with third parties. Each Authorised User is responsible for safeguarding their credentials; using the Platform only for authorised purposes; keeping their account information up to date; and reporting any unauthorised access of which they become aware. ALIVIO may implement additional authentication and security mechanisms and may temporarily block affected credentials where there is a security risk or reasonable indications of misuse.
6. Roles, permissions and limited-access principle
The Platform operates through a system of permissions associated with each role. Authorised Users may only access the information necessary to perform their assigned functions. The technical ability to view certain information does not authorise its use for purposes other than those related to the project, property, action or service for which access was granted. It is expressly prohibited to use information, photographs, data, quotes, technical documentation, contact data or any other content obtained through ALIVIO for private, commercial or professional purposes unrelated to the authorised service.
7. Recording and traceability of actions
The Platform may record certain actions performed by its users to provide traceability. Among others, the following may be recorded: creation and modification of issues; status changes; assignments; addition of photographs and documents; comments and communications; submission or modification of quotes; acceptance or rejection of actions; signatures and sign-offs; identification of the user performing an action; and date and time. These records may form part of the history associated with the asset, dwelling, element, issue or project. Traceability evidences that the relevant actions were carried out within the system, but does not in itself constitute technical certification, legal acknowledgement of liability or acceptance of any obligation other than that expressly arising from the action performed.
8. Information entered by users
Each user is responsible for the accuracy and legitimacy of the information they enter within the scope of their functions. The Client must ensure its Authorised Users do not add content that is false or manifestly incorrect; unlawful; unrelated to the purpose of the service; that infringes third-party rights; or that contains personal data unnecessary for the relevant management. ALIVIO is not obliged to check in advance the material accuracy of all content entered by Authorised Users.
9. Photographs and documentation
The Platform may allow the addition of photographs, videos, reports, plans, quotes, work orders, signed documents and other documentation related to the managed assets. Such content must relate exclusively to the purposes for which ALIVIO is used. Users must avoid, where possible, capturing or adding personal information of third parties that is not necessary to document the relevant action. The Client warrants that it holds sufficient title to add to the Platform the documentation it provides directly to ALIVIO.
10. Issue management and statuses
The Platform may use different statuses to reflect the evolution of an issue, review or action. The specific meaning and operation of those statuses is determined in the Particular Conditions of the relevant module. A status change is an operational record within the Platform. Unless expressly stated in the Particular Conditions or the relevant contract, a given status does not in itself constitute acknowledgement of liability, acceptance of warranty, acknowledgement of debt, certification of correct performance or waiver of rights.
11. Suppliers and third-party actions
The Platform may allow the participation of suppliers, contractors, technicians or other professionals responsible for carrying out actions. Where such third parties are selected or contracted directly by the Client, developer, builder, owner or other participant, ALIVIO is not a party to the contract between them. Using the Platform to assign an action, request a quote, receive a proposal, communicate an acceptance, record an intervention, provide documentation or add a signature does not in itself make ALIVIO a contractor, guarantor or party responsible for the material execution of the works. Where ALIVIO directly contracts or coordinates certain professional services as part of an additional service contracted by the Client, its scope and liability are those specifically set out in the relevant proposal or contract.
12. Signatures and sign-offs
The Platform may allow the collection of electronic signatures, acceptances or sign-offs, as well as the addition of previously signed documents. The purpose and effects of each signature depend on the specific process. The existence of a signature or sign-off must not automatically be interpreted as a general waiver of rights, acceptance of actions other than those expressly identified, or modification of the parties’ existing contractual liabilities. The Platform may retain technical evidence associated with acceptances to ensure their traceability.
13. Client obligations
The Client undertakes to: use the Platform in accordance with the law and the contract; provide correct information for service configuration; adequately designate its Authorised Users; report registrations and deregistrations; keep permissions up to date; not grant access to unauthorised persons; inform ALIVIO of any security incident of which it becomes aware; and ensure it has a sufficient legal basis for the data and content it adds to the Platform.
14. Prohibited use
It is prohibited to use the Platform for unlawful purposes; access information relating to projects or assets for which the user is not authorised; use information obtained through ALIVIO for purposes unrelated to the service; copy, download or massively exploit information without authorisation; share credentials; attempt to overcome access restrictions; reverse-engineer or manipulate the software; introduce malware or any harmful element; perform actions intended to alter the availability or security of the service; or use the Platform to infringe third-party rights. ALIVIO may suspend access where there are reasonable indications of serious breach of these obligations.
15. Availability, maintenance and evolution
ALIVIO will endeavour to keep the Platform continuously available, without prejudice to interruptions due to maintenance, updates, technical incidents, third-party services, force majeure or other circumstances reasonably beyond its control. ALIVIO may introduce updates, improvements or modifications. Modifications that substantially alter an essential contracted functionality will be communicated to the Client where necessary. Unless expressly agreed, contracting does not imply a specific guaranteed service level or availability.
16. Support
ALIVIO provides support relating to the use of the Platform through the enabled channels. The scope, hours and response times may depend on the plan or service contracted. Incidents relating to material works performed by suppliers are not considered technical incidents of the Platform.
17. Intellectual and industrial property
The Platform, software, code, structure, design, databases, documentation, trademark, graphic elements and other components of ALIVIO are protected by intellectual and industrial property law. Contracting grants the Client a limited, non-exclusive and non-transferable right to use the Platform during the term of the service and exclusively for the contracted purposes. No intellectual property rights over the Platform are transferred. Content and data entered by the Client continue to belong to their legitimate owner.
18. Data and information export
Data entered by the Client remains under its ownership or control, as applicable. ALIVIO may provide consultation, download or export tools in accordance with the contracted functionalities and the permissions assigned to each user. On termination of the service, the processing, retention, return or deletion of data will be carried out in accordance with the contract and, where personal data is processed on behalf of the Client, the corresponding Data Processing Agreement.
19. Data protection
Where ALIVIO processes personal data following the Client’s instructions and on its behalf, it acts as processor, and that relationship is governed by the corresponding Data Processing Agreement. Where ALIVIO processes data for its own purposes — for example, user management, security, billing or compliance with legal obligations — it acts as controller in accordance with its Privacy Policy. Authorised Users must respect the confidentiality and data-protection obligations applicable to the information they access.
20. Security
ALIVIO will apply technical and organisational measures reasonable and appropriate to the nature of the service and the data processed. The Client must cooperate in the security of the service through the correct administration of users, permissions and credentials. No computer system can guarantee absolute security, so the parties must diligently report any incident that may affect the security or confidentiality of the information.
21. Confidentiality
ALIVIO and the Client must keep confidential the non-public information they access as a result of their contractual relationship. This obligation continues after termination of the contract while the information remains confidential. Authorised Users are individually subject to the obligations set out in their respective Conditions of Use.
22. Financial terms
The price, frequency, number of assets, included users, contracted modules and other financial terms are those indicated in the relevant commercial proposal, order or contract. Unless otherwise stated, prices do not include legally applicable taxes. Additional services, visits, professional actions, specific developments or other items not included in the subscription may be invoiced separately where contracted.
23. Non-payment
In the event of non-payment, ALIVIO may require the Client to regularise the situation. If the breach persists after the request, ALIVIO may suspend access to the service in whole or in part until the situation is regularised, without prejudice to outstanding amounts. Where reasonably possible, ALIVIO will give prior notice of the suspension.
24. Liability
Each party is liable for the direct damages it causes as a result of an attributable contractual breach. ALIVIO is not liable for decisions made exclusively by the Client or its Authorised Users; incorrect information entered by third parties; material actions carried out by independent suppliers; contractual breaches between the Client and third parties; damages arising from use of the Platform for unauthorised purposes; or interruptions attributable to third parties or causes beyond its reasonable control. The above limitations do not apply where they cannot legally be excluded or limited.
25. Term and termination
The term of the service is that set out in the relevant proposal, order or contract. On termination, the corresponding accesses are disabled, without prejudice to legal retention obligations for certain information. Where applicable, ALIVIO will facilitate the Client’s recovery of information under the terms and formats set contractually.
26. Suspension of users
ALIVIO may immediately suspend an account where there is a security risk; unauthorised access is detected; a serious breach of these Terms occurs; there is fraudulent use of the Platform; or it is necessary to protect third-party information. Where possible, ALIVIO will inform the Client of the suspension and its causes.
27. Amendment of the Terms
ALIVIO may amend these Terms to adapt them to legal, technical, security or functional changes. Where an amendment substantially affects the conditions of the contracted service, it will be communicated to the Client with reasonable notice. The applicable version is identified by its update date.
28. Communications
Contractual communications may be made electronically using the addresses and channels designated by the parties. The Client must keep its contact details up to date.
29. Applicable law and jurisdiction
These Terms are governed by Spanish law. Unless a different mandatory rule applies or otherwise agreed in the relevant contract, the parties submit to the Courts and Tribunals of the city of Madrid, expressly waiving any other jurisdiction.
30. Contractual integrity
Any nullity or unenforceability of a provision does not affect the validity of the remaining Terms. Failure to exercise a right by either party does not constitute a waiver of it.
