Conditions of use, confidentiality and authorised use for users

The binding version of these conditions is the Spanish one. This English text is provided for convenience.

1. Purpose

These Conditions govern access to and use of the ALIVIO platform by the natural persons authorised to use it (the “User”). The Platform allows the management and documentation of certain processes related to real estate assets, including, depending on the project and assigned permissions, pre-sale, handover and after-sales processes, reviews, issues, actions, photographs, documentation, quotes, communications, signatures and sign-offs. Access to ALIVIO is conditional on acceptance of these Conditions. On first access, the User must declare that they have read and accept them.

2. Platform owner

The Platform is operated by ALIVIO Asset Management, S.L. · Address: [pending] · NIF: [pending] · Email: hola@alivioasset.com (“ALIVIO”). The User’s access takes place in the context of a project or service contracted by a company, professional or organisation (the “Client”) or by authorisation of an entity participating in that project.

3. ALIVIO users

Access to ALIVIO is personal. Depending on the project and configuration, there may be, among others, Administrator; Manager/Technician; Owner; and Supplier profiles. Each User has only the functionalities and permissions corresponding to their profile. The assignment of a role does not grant the User legal or contractual powers additional to those they hold through their relationship with the Client or other participants.

4. Personal account

Each User must use their own account. Credentials are personal and non-transferable. The User undertakes to: not share their password; not allow others to use their account; take reasonable measures to protect their credentials; log out when using shared devices; and report any unauthorised access of which they become aware. Actions performed through an account may be associated with the corresponding User for security and traceability purposes.

5. Professional and authorised use

The User may only use ALIVIO for functions related to the project, property, issue or action for which access was granted. Access to certain information does not authorise its use for any purpose. In particular, the User undertakes not to use data, photographs, documentation, quotes, technical information, contact data or other information obtained through ALIVIO:

• for personal purposes;
• for commercial activities unrelated to the project;
• to contact other users outside the authorised purpose;
• to attract clients;
• to offer unsolicited services;
• to create their own databases;
• to provide information to unauthorised third parties;
• or for any purpose other than that justifying their access.

This obligation applies even if the User can technically view or download certain information.

6. Confidentiality

All non-public information the User accesses through ALIVIO must be treated as confidential. This may include information about owners or buyers; names and contact data; property addresses; photographs of dwelling interiors; issue information; technical documentation; plans; quotes; prices; reports; work orders; contractual documentation; communications; supplier data; information on real estate developments; and any other non-public information available in the Platform. The User undertakes not to communicate, copy, publish, disseminate or provide this information to third parties unless necessary to legitimately perform their assigned function.

7. Duration of confidentiality

The confidentiality obligation remains in force even after the User ceases to have access to ALIVIO. Account deactivation or project completion does not authorise the User to retain or use information obtained through the Platform for other purposes.

8. Protection of personal data

The User must process the personal data they access exclusively within their assigned functions. In particular, they must: access only the necessary data; avoid unnecessary copies; not communicate data to unauthorised third parties; avoid storing information on personal devices or systems where not necessary; protect downloaded documentation; report any possible security incident; and respect the instructions applicable to the project. The User may not use data obtained through ALIVIO for their own commercial or personal purposes.

9. Photographs

Photographs added to ALIVIO must be limited to documenting the relevant property, issue, visit or action. The User must avoid, where reasonably possible, photographing people not necessary to document the action; personal documents; private information unrelated to the issue; screens; correspondence; family photographs; or other elements revealing unnecessary personal information. Photographs available in ALIVIO may not be published, disseminated or used for purposes other than those related to the project.

10. Documentation

Documents available in ALIVIO must be used exclusively for the purpose for which they were provided. The User may not modify, manipulate or alter documentation to falsify the history of an action. Where downloading documents is allowed, the User is responsible for maintaining their confidentiality and security.

11. Information entered by the User

The User is responsible for the information they add to ALIVIO through their account. They must ensure it is correct; relevant; understandable; related to the service; and limited to what is necessary. It is prohibited to add unlawful, offensive, manifestly false information or information unrelated to the purpose of the Platform.

12. Recording and traceability

ALIVIO may record certain actions performed by Users (accesses; issue creation; modifications; comments; photographs; documents; status changes; assignments; quotes; actions; signatures; sign-offs; date and time; and the user performing each action). These records may be used to maintain traceability, manage issues, ensure Platform security and evidence actions carried out within the system. The User must not use accounts belonging to others nor allow others to use theirs.

13. Administrator

The Administrator profile may have extended management functions: managing projects; administering users; consulting assets; managing permissions; consulting and managing issues; accessing documentation; changing statuses; supervising actions; and other administrative functions. The extended access must be used exclusively for authorised professional functions. The Administrator must exercise heightened confidentiality regarding the information they access.

14. Manager/Technician

The Manager/Technician profile may have permissions to: review issues; complete information; classify them; modify certain records; validate their processing; change statuses; assign suppliers; request actions; review quotes; record visits; add photographs; prepare or add reports; supervise actions; validate their resolution; and other functions related to technical or operational management. They must use these powers exclusively within their assigned functions. Performing an action in ALIVIO does not grant the Manager/Technician representation or contractual decision powers not previously conferred.

15. Owner

Where this profile is enabled, the Owner may access only the information for the properties, issues or actions assigned to them, and may: report issues; describe them; add photographs; provide documentation; check their status; receive communications; respond to information requests; consult actions; sign; and express sign-off. The Owner must use the data of technicians, managers and suppliers exclusively to manage the relevant actions through authorised channels. The availability of a supplier’s or professional’s contact data does not authorise its use for purposes unrelated to the service.

16. Supplier

The Supplier profile accesses only the issues and actions assigned to them, and may: consult the issue description; consult necessary photographs and documentation; add comments; request information; submit quotes; add photographs; record a visit or intervention; document the works performed; add work orders; add signed documents; and report the completion of an action.

Limited use of data by the Supplier. The Supplier uses personal data, addresses, phone numbers, photographs and other available information exclusively to carry out the assigned action. It is expressly prohibited to use this data to subsequently offer their own services, carry out commercial actions, add it to their own databases or contact owners for works other than those managed through ALIVIO, unless an independent relationship legitimises such processing. Information obtained through ALIVIO may not be used to bypass the Client, ALIVIO or another project participant where such use is contrary to existing contractual obligations.

17. Quotes

Where the User is authorised to submit a quote, they must ensure the information provided is complete and corresponds to the requested action. Submitting a quote does not imply its acceptance. Where the User is authorised to accept or reject quotes, they must use that function only when they have sufficient authority. The Platform may allow acceptance; rejection; requests for clarification; or requests for a new proposal or counter-offer.

18. Issues

Creating an issue only implies its communication through ALIVIO. It does not automatically imply acknowledgement of a defect; acknowledgement of liability; acceptance of warranty; a repair obligation; or acknowledgement of debt. Issue statuses must be interpreted in accordance with the Particular Conditions of the relevant service.

19. UNDER EVALUATION status

An issue may initially be UNDER EVALUATION until reviewed by an authorised profile. The User must wait for that evaluation to be completed before considering the issue accepted.

20. OPEN status

Moving to OPEN indicates the issue can continue processing within ALIVIO. It does not in itself constitute legal acknowledgement of liability or warranty coverage.

21. NOT APPLICABLE status

Where an issue is classified as NOT APPLICABLE, the corresponding reason is added. The User may consult that information where they have access to it. The classification does not prevent the parties from exercising, outside ALIVIO, the rights available to them legally or contractually.

22. RESOLVED status

An issue may appear as RESOLVED – No signature; RESOLVED – Signature in Platform; or RESOLVED – Signed document. This status indicates that the operational completion of the action has been recorded. It does not necessarily imply the sign-off of the User who reported the issue.

23. SIGNED OFF status

Where the flow allows, the authorised User may confirm that a resolved issue is SIGNED OFF. Before doing so they must reasonably verify that the specific action has been carried out. The sign-off refers exclusively to the identified action. Unless expressly stated otherwise, it does not imply a general waiver of rights, warranties, claims for hidden defects or different issues.

24. Signatures

Where ALIVIO requests a signature, the action, document or purpose to which the signature relates is shown to the User. The User must check the information before signing. It is prohibited to sign using another person’s identity; allow third parties to sign using one’s own account; add third-party signatures without authorisation; or manipulate signed documents. Signatures and acceptances may be linked to the User’s identity, date, time, issue and corresponding documentation.

25. Use of information outside ALIVIO

The User may only extract information from the Platform where necessary to perform their functions or where authorised. Mass extraction of information to create unauthorised parallel files or databases is prohibited. Where the purpose that justified a download ceases, the User must delete copies they have no legitimate obligation to keep.

26. Personal devices

Where access to ALIVIO from personal devices is allowed, the User must adopt reasonable security measures: keep the device protected; prevent third-party access; keep the system updated; not store passwords insecurely; and delete downloaded documentation when no longer necessary.

27. Security incidents

The User must promptly report any circumstance that may compromise the security or confidentiality of information, including loss or theft of devices; loss of credentials; improper access; sending information to the wrong recipient; viewing information that should not be available; accidental download; or any other possible data exposure. The report must be made through the channel enabled by ALIVIO or the relevant organisation.

28. Prohibited uses

It is expressly prohibited to: access information without authorisation; attempt to overcome permission restrictions; share accounts; impersonate another User; use data for unauthorised commercial purposes; massively copy information; publish photographs or documentation obtained through ALIVIO; fraudulently alter records; introduce malicious software; attempt to access the code or infrastructure without authorisation; interfere with the operation of the Platform; use the Platform for unlawful activities; or use information obtained through ALIVIO to the unlawful detriment of third parties.

29. Suspension of access

ALIVIO or the organisation responsible for the project may suspend a User’s access where their participation in the project ends; they no longer need access; there is a security risk; misuse is detected; there is a breach of these Conditions; or it is necessary to protect the available information. In serious cases, access may be suspended immediately.

30. User liability

The User is liable for actions they perform in breach of these Conditions where attributable to them. In particular, they may be liable for misuse, unauthorised disclosure or unlawful extraction of information. The above is without prejudice to the labour, professional, contractual, administrative or legal liabilities that may apply.

31. Data protection and Privacy Policy

The processing of the User’s own personal data by ALIVIO is explained in the Privacy Policy, available during registration and permanently accessible from the Platform. Acceptance of these Conditions of Use does not amount to general consent for the processing of personal data. Processing is carried out in accordance with the applicable legal basis in each case.

32. Amendment of these Conditions

ALIVIO may update these Conditions as a result of legal, technical, functional or security changes. Where amendments are relevant to the User’s rights or obligations, a new acceptance may be required. ALIVIO keeps identification of the applicable versions.

33. Applicable law

These Conditions are governed by Spanish law. The rights the User may have under mandatory rules are not affected by these Conditions.

Electronic acceptance

To access ALIVIO, the User must expressly accept these Conditions. The Platform records at least: User identification; version of the accepted Conditions; date and time of acceptance; and sufficient technical evidence of the acceptance. The User can access the full text of these Conditions before accepting and subsequently from the Platform.
